Introduction
These Terms of Service ("Terms") govern your use of the website, client portal, and sourcing, warehousing, shipping, and customs clearance services provided by Shenzhen Rizkallah Trading Co. Ltd., operating as 360TradeX ("360TradeX," "we," "us," or "our"). By placing an order, signing a service agreement, or using our client portal, you agree to be bound by these Terms.
Section 1: Our Services
360TradeX helps Amazon FBA sellers, Shopify brands, and global importers source products from China and manage fulfillment. Depending on what you engage us for, our services include:
- Product sourcing and supplier or factory coordination.
- Consolidation from multiple factories and temporary warehousing in China.
- Quality inspection, and packaging and branding customization.
- International shipping and customs clearance to your destination country.
- Amazon FBA prep and dropshipping fulfillment support.
- Warehousing, per-piece e-commerce fulfilment and parcel shipping for online stores are provided by our sister company 360CartX under its own account, terms and published rates.
Section 2: Quotations and Orders
Every service is priced separately. For each request we issue a quotation in your client portal that states the scope, the price, the currency, the payment terms and the validity date. A quotation becomes binding when the account owner accepts it in the portal; until then nothing is ordered.
- Services: sourcing, product development, factory visits, inspections, audits, testing, packaging and other services are each quoted on their own.
- Goods: the cost of the products is priced according to the factory quotation you approve before production begins.
- Shipping: freight, customs clearance and duties are priced according to the shipping method and destination you select.
- Interior Studio: opening the full catalog library requires a deposit of USD 1,000, which is deducted from the total of your interior project. This deposit applies to the Interior Studio only.
Changes requested after a quotation is accepted may change the price or the delivery date; we confirm any such change in writing in the portal before it applies.
Section 3: Payment Terms
We accept payment through the following methods:
- Bank transfer to our business bank accounts, including ICBC (Industrial and Commercial Bank of China).
- Airwallex.
- PingPong.
- Alipay.
| Method | Details | Typical time to confirm |
|---|---|---|
| Bank transfer | Transfer to our business account in USD or CNY (ICBC and other banks shown in your portal) | 1-3 business days |
| Airwallex | International transfer through Airwallex | 1-2 business days |
| PingPong | Transfer through PingPong, popular with e-commerce sellers | 1-2 business days |
| Alipay | Payment in CNY through our Alipay QR code | Same day |
Payments are due as stated in the accepted quotation or the invoice. The purchase of goods usually follows the factory's payment schedule, commonly a deposit before production and the balance before shipment. Shipping charges are due before your goods leave China unless otherwise agreed in writing.
Bank details are shown only inside your client portal. We will never ask you by email or message to pay a different account. A payment, or a wallet top-up, counts only after our finance team confirms that the funds arrived. Bank and transfer charges are paid by the sender. USD and CNY are kept separate and are not converted unless agreed in writing. We do not accept cash, cryptocurrency or unofficial payment channels.
Section 4: Your Responsibilities
- Give us accurate specifications, quantities, artwork and instructions, and approve samples before mass production.
- Make sure your products, labels and packaging comply with the laws of the countries where they are imported and sold, including safety, labelling and marketplace rules.
- Hold the rights to every brand, logo, design and file you ask us to use, and do not ask us to source counterfeit or prohibited goods.
Section 5: Inspections, Tests and Certificates
Our inspections are internal inspections carried out by our staff on samples drawn from the goods presented. They report what was observed at that time and are not an independent, accredited or third-party certification. Laboratory tests and certificates are issued by the laboratories and bodies that perform them; we arrange them but do not guarantee their results, their acceptance by authorities or marketplaces, or the conformity of goods that were not tested.
Section 6: Limitation of Liability
We perform our services with reasonable skill and care. Factories, laboratories, carriers and other third parties are responsible for their own products and services, and we are not liable for their acts or omissions, although we will help you pursue them.
To the extent permitted by law, our total liability arising from any service is limited to the fees you paid to 360TradeX for that specific service, excluding the cost of goods and freight paid to third parties. We are not liable for indirect or consequential losses, including loss of profit, sales, marketplace ranking or business opportunity. Nothing in these Terms limits liability that cannot be limited by law, such as liability for fraud or wilful misconduct.
Any claim about a service should be raised in writing through your portal within 30 days after the service is completed or the goods are delivered, so that it can be investigated while the facts are still available.
Section 7: Force Majeure
We are not responsible for delays or failures caused by events beyond our reasonable control, including natural disasters, epidemics, government actions, port or customs closures, strikes, factory closures and national holidays such as Chinese New Year. We will inform you promptly and work with you to limit the impact.
Section 8: Governing Law and Disputes
These Terms and every quotation and order under them are governed by the laws of the People's Republic of China. We will first try to resolve any dispute through good-faith discussion. If it is not resolved within 30 days, either party may submit it to the Shenzhen Court of International Arbitration (SCIA) for arbitration in Shenzhen under its rules in force at the time; the arbitration award is final and binding on both parties.
Section 9: Changes and Contact
We may update these Terms. The version published on this page applies to quotations issued after its publication; an accepted quotation keeps the terms that applied when it was issued.
